Sai Parenterals acquires 60% stake in Prathyak Laboratories for Rs 15 crore

Sai Parenterals has completed the acquisition of 60% equity stake in Prathyak Laboratories, an operating research and development centre at Genome Valley, Hyderabad, for Rs 15 crore. The acquisition was funded from the unutilised net proceeds of the company's initial public offering. Post this acquisition, Prathyak has become a direct subsidiary of the company and has been renamed as Sai Prathyak Laboratories. The residual 40% stake may be acquired through a Right of First Refusal (ROFR) at the same valuation as the present transaction, to be funded from internal accruals, taking Prathyak to a wholly owned position.

The acquisition replaces the greenfield research centre the company had originally intended to build and for which an allocation had been earmarked in the objects of the issue. Prathyak has been in operation for three years and brings 28 research scientists and a development pipeline of 150 SKUs across 86 molecules. Its proven capability lies in lyophilised, liposomal and nano-based complex injectables and in oncology injectables - precisely the areas in which the company is building its regulated-market injectable franchise.

Prathyak’s development work supports the company’s injectable programme directly. Formulations developed at this R&D centre can be taken into commercial production as the company’s injectable capacity is expanded and upgraded, shortening the path from development to supply in regulated and semi-regulated markets. The platform also supports the Group’s Australian and New Zealand business, where the renewed supply agreements carry a contractual commitment to introduce new products each year. Development for those launches can now be undertaken within the Group. 

Sai Parenterals, along with its subsidiaries, carries out contract research and manufacturing activities for customers engaged in pharmaceutical industries.
